- FundraisingCOUP: A program teaching tech founders how to raise venture capital
- COUP Movement: A program teaching how to pitch and present outstandingly.

‍
If based in Germany, the Participant is familiar with the differences and delimitations between booking the program and services as an Entrepreneur and aa Consumer. In particular, entrepreneurs do not have a statutory right of withdrawal in distance selling Agreements. INFINITE DISRUPTION does not grant such a right on a contractual basis.

INFINITE DISRUPTION will provide the following services to the Participant under the aforementioned program:

‍1.1 Access of the Participant to the online video course of INFINITE DISRUPTION

If agreed upon and listed on the invoice, the Participant receives, for the duration of the Agreement (standard: 1 year after their onboarding), access to INFINITE DISRUPTION's video-based online courses for the specified program (FundraisingCOUP, COUP Movement, or others).
‍
If the Participant is provided access to the video course of the specified program beyond the term of the Agreement, INFINITE DISRUPTION is entitled to discontinue access for good cause (e.g. liquidation of the company, permanent illness of shareholders).

INFINITE DISRUPTION reserves the right to continuously change the content of the video courses, in particular, to remove individual videos from the video course in the future, replace them or add further videos.

If not agreed differently, the Participant will get two seats - which means up to two named C-Level executives will get access to the video course. The access can't be transferred to any other team member or person.

‍1.2 Access to the Online Community Platform of INFINITE DISRUPTION

If agreed upon and listed on the invoice, the Participant also receives access for the duration of the Agreement or to an online community platform by INFINITE DISRUPTION for the specified program, currently accessible under the URL skool.com.
Within this community, an online-based knowledge exchange takes place with other Participants of the video course of the specified program.

If the Participant is provided with access to the online community platform beyond the term of the Agreement, INFINITE DISRUPTION shall be entitled to discontinue access for good cause (e.g. liquidation of the company, permanent illness of members).

If not agreed differently, the Participant will get two seats - which means up to two named C-Level executives will get access to the Online Community Platform. The access can't be transferred to any other team member or person.

‍1.3 Access to the INFINITE DISRUPTION live calls

If agreed and listed on the invoice (and only then), the Participant also receives for the duration of the Agreement the opportunity to participate in live group calls with INFINITE DISRUPTION.
The exact number and determination of group live calls taking place is at the discretion of INFINITE DISRUPTION (up to a maximum of four group live calls per month). Within the live calls, Participants can ask INFINITE DISRUPTION, invited experts, or each other questions.  Other clients of INFINITE DISRUPTION also participate in the group live calls.

If not agreed differently, the live calls are expected to take place (usually weekly at the same time) for one hour, after prior announcement (at least 5 days' notice) by INFINITE DISRUPTION. The date and time will be determined by INFINITE DISRUPTION.

INFINITE DISRUPTION will endeavor to answer all Participants' questions within the group live calls, but cannot guarantee this with regard to the actual volume of questions. INFINITE DISRUPTION will determine the selection and order in which questions posed by Participants will be answered.

Outside of live calls, INFINITE DISRUPTION is not obliged to answer questions from Participants, in particular not via messenger apps, telephone, or email, unless this has been explicitly contractually agreed.

The client has no claim to a specific interlocutor on the part of INFINITE DISRUPTION within the live calls. In particular, INFINITE DISRUPTION is entitled to use external experts to conduct the live calls.

If not agreed differently, the Participant will get two seats - which means up to two named C-Level executives will get access to the group calls. The access can't be transferred to any other team member or person.

1.4 Feedback on the Participant's individual presentation/pitch

FundraisingCOUP participants are entitled to present their individual presentation for venture capital investors (so-called "pitch deck") to INFINITE DISRUPTION once during the coaching. The presentation can be made by video, by e-mail, or otherwise asynchronously by multimedia. A personal presentation on-site or via video conference is excluded unless INFINITE DISRUPTION offers this voluntarily.

INFINITE DISRUPTION will make a professional assessment of the presentation given and provide the Participant with an evaluation in this respect. Any further feedback loops are excluded unless otherwise agreed. T

The Participant is obliged to make the respective presentation available to INFINITE DISRUPTION for the duration of the Agreement. A later provision is excluded unless INFINITE DISRUPTION offers this voluntarily.

‍1.5 Individual consulting and coaching

‍
Individual consulting and coaching (e.g. in 1:1 calls) are not part of the standard programs and need individual, additional agreements.

‍1.6 Access data/technical requirements

‍
The Participant will receive all access data required for participation in the specified coaching program within 7 days after placing the order and receipt of payment.

The Participant has been advised by INFINITE DISRUPTION that participation in the coaching program requires an internet connection sufficient for video streaming and an appropriate computer with speakers and a microphone.

‍2 Remuneration
‍
‍
INFINITE DISRUPTION shall receive a remuneration lump sum as specified on the issued invoice.
‍
INFINITE DISRUPTION shall only be obliged to perform upon full payment of the due amount.

The FundraisingCOUP program comes with two alternative payment models:
a) An upfront payment of EUR 10,500.
b) An upfront payment of EUR 7,500 plus a success fee of EUR 6,000 if the participant is able to raise at least EUR 100,000 capital in total within 12 months after their first weekly group call in the FundraisingCOUP program. This applies to all kinds of fundraising sources (business angels, VC funds, public grants, etc.) and forms (equity round, convertible round, etc.). All sums raised within 12 months after the first weekly FundraisingCOUP group call will be counted so that the threshold of EUR 100,000 will be reached if the participant raises, for example, EUR 30,000 three months after their first weekly group call, another EUR 50,000 6 months after joining the group calls and another EUR 20,000 9 months after joining.
‍
The participant must let INFINITE DISRUPTION know about a capital raise of at least EUR 100,000 in total within 14 days.

If the invoice recipient is not the entity for which the participant (founder) will raise funds, then the above-described success fee clauses applies to the financing round for the company entity the participant is raising funds for, but the invoiced entity will be liable to pay the success fee.

The participant is free to choose one of the two payment options above. The invoice will state which option was agreed between the parties.
‍
If INFINITE DISRUPTION and the Participant agree on payment in installments and haven't explicitly agreed on anything different regarding the number of installments and their dates, the first installment (=50% of the overall sum) has to be paid before the start of the program, and the second installment (=another 50% of the overall sum) three months after having paid the first installment.

‍3 Agreement duration

‍
The Agreement begins on the date of the received payment and ends after the program duration as specified on the invoice (often six months) without the need for express notice of termination. If no duration is specified on the invoice, the standard duration of six months applies. Prior to the beginning and within this term, premature termination (in particular §§ 621, 627 BGB) is excluded.

The mutual right to premature extraordinary termination - including termination without notice - in the event of good cause shall remain unaffected.

‍4 Right of withdrawal

Companies have no right to withdraw, thus refunds are not possible in a B2B transaction.

‍
INFINITE DISRUPTION informs end consumers from Germany separately by e-mail about the right of withdrawal that exists in distance selling.

‍5 Further provisions

‍
It is agreed that German law shall apply exclusively. The place of performance shall be the registered office of INFINITE DISRUPTION.

INFINITE DISRUPTION will not provide any services in the areas of legal and tax advice and, in particular, will not review any Agreement templates and/or draft Agreements for the Participant under the Agreement. INFINITE DISRUPTION will furthermore not provide advice on deal terms and the structuring of employee shareholding pools and similar constructs.

INFINITE DISRUPTION draws the Participant's attention to the fact that participation in the FundraisingCOUP coaching program does not imply any assurance that a venture capital investment will be secured for the respective business purposes. In particular, INFINITE DISRUPTION does not establish contact with investors/third-party capital providers. The Participant will not receive any lists or recommendations from INFINITE DISRUPTION regarding specific investors/third-party capital providers.

Should one or more provisions of this Agreement be or become invalid or unenforceable for factual or legal reasons, the validity of the remaining provisions of this Agreement shall not be affected thereby.

INFINITE DISRUPTION and the Participant shall in such case replace the invalid or unenforceable provision with a valid provision that most closely approximates the economic intent.
